These Terms & Conditions ("Terms") are a legal agreement between you and Maxwell Labs, Inc. ("Maxwell," "we," "us"). They govern your access to and use of the Maxwell app, website, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service. If you use Maxwell on behalf of someone else as a caregiver, you confirm that you have that person's permission, or the legal authority to act for them, to the extent required.
Maxwell uses passwordless "magic link" sign-in tied to your email address. You are responsible for keeping access to your email secure and for activity that happens under your account. Tell us promptly at [email protected] if you believe your account has been used without your permission.
Maxwell is a wellness and companionship tool. Depending on the features you use, it can help you chat with an AI assistant, set medication reminders and log doses, check whether a message or call may be a scam, and connect with peers — with optional caregiver support. We may add, change, or remove features over time.

Maxwell does not provide medical advice and is not a medical device, healthcare provider, or pharmacy. Its reminders, information, and responses are for general support only and are not a substitute for professional medical judgment.
Always talk to a doctor or pharmacist before making decisions about medications or your health. Never rely on Maxwell to manage a medical emergency.
In an emergency, call your local emergency number (for example, 911) right away. Maxwell is not an emergency service and cannot contact responders for you.
Maxwell's scam-check feature offers guidance to help you spot suspicious calls, texts, and links. It is a helpful signal, not a guarantee. It may miss real scams or flag safe messages. You are responsible for your own decisions, and you should be cautious before sharing money or personal information based on any message — including ones Maxwell labels as likely safe.
The assistant's responses are generated by artificial intelligence and may be inaccurate, incomplete, or out of date. Do not treat them as professional medical, legal, or financial advice. Verify anything important with a qualified person. You are responsible for how you use information the assistant provides.
If you connect a caregiver, you control what they can see and you can change or end that access at any time. Caregivers agree to use any information they receive only to support the person in their care, and to respect that person's privacy and wishes. We are not responsible for how a caregiver or care recipient uses information shared between them.
When using Maxwell, you agree not to:
You keep ownership of the content you provide — your messages, logs, and submissions. You grant us a limited license to host, process, and use that content solely to operate and improve the Service and to provide the features you request, as described in our Privacy Policy. You are responsible for the content you submit and confirm you have the right to share it.
The Maxwell name, logo, software, design, and content (other than your content) belong to us or our licensors and are protected by law. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works from the Service except as allowed by these Terms or applicable law.
Maxwell relies on third-party providers — for example, AI and voice processing, email delivery, hosting, and mapping. Your use of features that depend on them may also be subject to their terms. We are not responsible for third-party services we do not control.
During early access, Maxwell is provided free of charge. We may introduce paid plans in the future; if we do, we will tell you the price and terms before you are charged.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that reminders or notifications will always be delivered on time.
To the fullest extent permitted by law, Maxwell and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, missed reminders, or reliance on AI or scam-check results. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim, or USD $100, whichever is greater. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You may stop using Maxwell and delete your account at any time. We may suspend or end your access if you break these Terms, if needed to protect users or the Service, or if we stop offering the Service. Sections that by their nature should survive — such as content licenses, disclaimers, and limitation of liability — will continue to apply after termination.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you in the app or by email. By continuing to use the Service after changes take effect, you agree to the updated Terms.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be resolved in the courts located in New York County, New York, unless applicable law gives you the right to bring it elsewhere.
